Terms of Service

These Terms of Service ("Terms") are an agreement between you and JENNi Inc. ("JENNi," "we," "us," or "our"). By visiting jennipro.com, creating an account, or using any JENNi service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the services.

If you use the services on behalf of a business or other organization, you represent that you have the authority to bind that organization to these Terms.

JENNi operates an inventory network that connects retail store inventory to sales channels. Our services include operating marketplace storefronts on third-party platforms (such as DoorDash and Uber Eats), powering same-day checkout on brand and retailer websites, surfacing store inventory to shoppers and AI agents, and routing orders to the store that fulfills them. Delivery is performed by independent courier networks.

Depending on the channel, JENNi may act as a technology provider to the selling store, as the operator of a marketplace storefront, or as the shopper's buying agent for a purchase. JENNi is not the manufacturer of any product sold through the network.

Product, price, and availability information comes from retailers, brands, and other third-party sources and is displayed in good faith. It is not a guarantee that an item is in stock at a particular store at a particular moment. If an item cannot be fulfilled, the order may be cancelled and any amount charged will be refunded.

Prices are set by the selling store or channel and may change at any time. Taxes, delivery fees, and service fees may apply and will be shown before you complete a purchase where the channel supports it. Payment is processed by third-party payment processors; by purchasing, you also agree to their terms. For certain purchases, payment may be authorized at checkout and captured when the fulfilling store confirms the order.

A confirmed order is an offer to purchase that the fulfilling store may accept or decline. Title and risk of loss pass as provided by the selling store's terms and applicable law.

Retailers, brands, and other businesses that connect inventory, operate storefronts, or route orders through JENNi do so under separate written agreements with us. If there is a conflict between these Terms and a signed partner agreement, the partner agreement controls for that partner's use.

You agree not to:

• Use the services for any unlawful purpose or in violation of another person's rights.
• Interfere with, disrupt, or attempt to gain unauthorized access to the services or their data.
• Scrape, harvest, or reproduce inventory or pricing data except as we expressly permit in writing or through a published API.
• Misrepresent your identity or affiliation when using the services.

The services, including the JENNi name, software, and site content, are owned by JENNi or its licensors and are protected by intellectual property laws. These Terms do not transfer any ownership rights to you. Product names, images, and trademarks belong to their respective owners.

Parts of the services run on or connect to third-party platforms — including marketplaces, payment processors, and courier networks. Those services are governed by the third parties' own terms, and JENNi is not responsible for their availability, performance, or policies.

The services are provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose and accuracy of inventory or availability data. We do not warrant that the services will be uninterrupted or error-free.

To the maximum extent permitted by law, JENNi will not be liable for indirect, incidental, special, or consequential damages arising from the use of the services. JENNi's total liability for any claim arising from the services will not exceed the amounts you paid to JENNi for the services in the twelve months before the claim, or one hundred dollars ($100), whichever is greater.

You agree to indemnify and hold JENNi harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the services or your violation of these Terms.

We may update these Terms from time to time. When we do, we will post the updated version here and revise the date above. Your continued use of the services after an update means you accept the updated Terms.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute arising from these Terms or the services will be resolved in the state or federal courts located in Bexar County, Texas, and you consent to their jurisdiction.
